FORMATION & COMPLIANCE


We guide clients through the process of forming new businesses, and we help growing companies, startups, and established operators comply with ongoing legal requirements.


At the formation stage, we help clients determine when, where, and how to create their companies. We advise on routine corporate matters such as early-stage governance, naming considerations, ownership obligations, entity structuring, and foreign qualifications. We also counsel founders on tax-advantaged structures (including the Qualified Small Business Stock (QSBS) exclusion) and establish corporate governance practices required to protect long-term value.


Our compliance work includes keeping businesses in good legal standing, maintaining capitalization tables (including by ensuring equity issuances are properly documented), managing director and officer appointments, drafting minutes and resolutions, and organizing corporate records.




OUTSIDE GENERAL COUNSEL


We serve as first-call general counsel and provide comprehensive support across the full spectrum of challenges businesses may encounter, including contract disputes, privacy breaches, short-term liquidity needs, and labor issues. We advise on, draft, and negotiate key employee, contractor, customer, vendor, and landlord arrangements. In addition, we draft and negotiate restrictive covenants—including confidentiality, non-competition, and non-solicitation agreements—and advise on their legal enforceability.


Our outside general counsel services include evaluating when it is appropriate to seek specialized input from other professionals, including tax advisors, valuation experts, investment bankers, and subject-matter attorneys. To that end, our network includes a wide-range of other professionals with whom we coordinate, ensuring our clients have access to comprehensive and execution-ready counsel on any given matter.




GROWTH OPPORTUNITIES


We help businesses evaluate and execute strategic expansion plans.


We analyze how taking on outside equity, debt, or other financing could have an impact on ownership, governance, and daily operational control. We also identify potential transaction hurdles early, such as required landlord, customer, or regulatory consents.


When a growth opportunity arises, we draft and negotiate the investment, debt, and purchase agreements required to close the transaction smoothly.
