We advise clients through the process of investing capital, including transaction structure, governance arrangements, information rights, anti-dilution protections, and targeted diligence.

CURRENT INVESTMENTS

We help clients manage the legal aspects of their investments during the hold period.

We advise on governance rights (including board seats and veto rights), information requests, pre-emptive rights offerings, emergency board or committee meetings, and dilution scenarios. We also restructure investments and validate capitalization tables.

LIQUIDITY EVENTS

We serve as outside investment counsel to clients selling positions.

Our work includes negotiating term sheets, preparing for buyer diligence, finalizing transaction structures, and taking lead on negotiating and drafting legal documents.

We advise on economic protections, approval and consent requirements, blocking and drag rights, rollover requirements, and proxy designations. We help minimize exposure to post-closing liabilities.
